Mix It Up Corporate Contributor License Agreement (CCLA)

  1. Authority. The undersigned entity (“Company”) has authority to grant the rights below for Contributions made by its identified employees/contractors.

  2. Designated Contributors. Contributions covered by this Agreement are those made by the employees and contractors listed on Schedule A. Company may add or remove individuals from Schedule A by written notice (email sufficient) to legal@mixitup.bot; changes take effect on our written acknowledgment.

  3. Assignment. Company assigns to Blazing Cacti LLC all right, title, and interest in Contributions, worldwide. Blazing Cacti grants Company a non-exclusive license-back to use its Contributions.

  4. Patent. Company grants Blazing Cacti a perpetual, worldwide, royalty-free patent license covering Contributions. Terminates upon Company’s or its affiliate’s patent assertion against the project.

  5. Outbound Licensing. Blazing Cacti may license the project (including Contributions) under terms it selects, including proprietary or source-available licenses.

  6. Compliance. Contributions will not include code under GPL, AGPL, LGPL, SSPL, Commons Clause, “non-commercial,” or similar. Allowed: MIT, Apache-2.0, BSD-2/3, ISC, zlib, CC0, with notices. Exception: the project itself may include specifically approved vendored components under other licenses (for example, MPL 1.1) as identified in the Third-Party Notices; Contributions must not introduce new components under such licenses without Blazing Cacti’s prior written approval.

  7. Confidentiality/PII. No confidential information or personal data in Contributions.

  8. No Consideration. No payment due unless separately agreed in writing.

  9. Governing Law; Venue. Nevada law; exclusive venue in Clark County, Nevada courts.

This Agreement may be executed electronically and in counterparts; an electronic signature is as effective as an original. It covers Contributions you have made and will make to Mix It Up unless terminated in writing prospectively.
